As guardians of our governance framework, the Board sets the policies and standards that steer our operations. We fully comply with King IV, JSE Listing requirements, and all relevant corporate governance, legal, and regulatory obligations.
The Board has delegated oversight to five committees.
Joined the board in 2014 and became Chair in 2020. She was previously the group chief executive officer of HomeChoice Holdings in 2013 and chief executive officer of the retail division in 2007. Prior to joining the group, Shirley was a fund manager at Mercury Asset Management (SA) and Fleming Martin (SA).
Joined the board in 2019. Pierre is the CEO of Universal Partners Limited, a private equity-focused holding company with a dual listing on the Mauritian and JSE stock exchanges. He was previously the chief investment officer of Richmark and spent 13 years at Rand Merchant Bank in a number of roles.
Joined the board in 2014. Eduardo is a partner of Development Partners International LLP, an investment adviser to private equity funds that invest across Africa and has 20 years of African private equity experience. Eduardo has served on the board of directors of numerous public and private companies in South Africa and elsewhere. Eduardo represents DPI, the Group's second largest shareholder, on the board.
Joined the board in 2021. Marlisa is the chief executive officer of a Family Office providing financial advisory and management services to the family and their private corporations and non-profit organisations across Africa, Europe and the US. She has more than 20 years experience in managing financial functions across international jurisdictions.
Joined the board in 2022. Rod is the Executive Chairman of Sanlam Trustees International in Mauritius, a management company providing independent trust, company fund administrations services to private, corporate and institutional clients around the world. He is also a non-executive director for a number of Sanlam’s key clients including pan-African private equity funds, regulated financial services businesses and early-stage technology companies.
Joined the board in 2024. Greg is a fully qualified member (TEP) of the Society of Trust and Estate Practitioners and has been a director of Guardian Trust Company Limited since March 2004. He has over 30 years of experience in both the Trust and fiduciary industry. He was previously the chief executive officer of the group, retiring from that position in December 2022.
Adefolarin is an investment professional at DPI focused on sourcing and evaluating investment opportunities across consumer driven industries in Africa. He was previously an investment professional at Helios Investment Partners and an investment banker at Credit Suisse in New York. Adefolarin was appointed as an alternate to Eduardo Guiterrez-Garcia in 2018.
Joined the board in 2022. Sean spent 18+ years as CEO of Finchoice, building their lending and insurance business organically into the substantial consumer-focused fintech business it is today. Prior to this Sean worked at Nedbank as Head of American Express Charge Cards having gained significant knowledge on the card markets from his project role at Capital One.
Joined the board in 2014. Paul was previously the chief financial officer at Nimble Group, a credit solutions business specialising in outsourced collections and business advisory services. He has also worked for the World Bank in a fiduciary role for the Africa region after completing his accounting articles at Ernst & Young.
Responsible for reviewing and advising the Board on financial, risk and compliance matters. This includes financial reporting, external and internal audit, internal financial and non-financial controls, tax, risk management and compliance processes. To be satisfied with the effectiveness of the group’s assurance functions, including external assurance providers, internal and external audit.
Responsible for the oversight of the group’s treasury management functions. Recommends the optimal funding and liquidity mix in line with the group’s treasury risk strategy.
Monitors and oversees the processes and outcomes of the credit risk policy. Recommends any changes to the credit risk policy in response to market conditions and actual performance.
Responsible for ensuring that the Group implements and adheres to a policy of fair, responsible and transparent remuneration, which promotes the delivery of the Group’s strategy over the short, medium and long term. Annually they consider the composition of the Group board to ensure it is appropriately constituted and has the relevant skills, expertise and diversity to execute its duties effectively.
The committee is responsible for ensuring that the Group acts as a responsible citizen. It also monitors the committee’s obligations in terms of the SA Companies Act.
